UPDATES TO OUR PRIVACY NOTICE

This Privacy Notice may be updated periodically and without prior notice to you to reflect changes in our personal information practices. We will indicate at the top of the notice when it was most recently updated. Any changes will become effective when we post the revised Privacy Notice on the Sites.

Evidnt (“Evidnt,” “We” or “Us”) provides services that enable Evidnt Users (defined below) to import sales and transaction data from their payment processor, keep track of their inventory, and analyze their sales data for insights and driving store traffic through Brand advertising (the “Services”) through our website located at Evidnt.co (the “Site”), Evidnt applications (the “App”) and other media, services and applications.

Please read the following important terms and conditions (“Terms of Service”) carefully. These Terms of Service and the Evidnt Privacy Policy (Evidnt.co/privacy), incorporated herein by reference, govern your access to and use of the Site, App and Services, including any content, information, products or services therein.

These Terms of Service are a legal agreement between you and Evidnt and apply to you whether you have created a Evidnt Application Account (a “ Registered User”) or you are a visitor browsing the Site (collectively, “Evidnt Users”).

YOU UNDERSTAND THAT BY CLICKING THE “I AGREE” BUTTON, OR BY USING THE SITE OR SERVICES (INCLUDING ANY CONTENT PROVIDED THEREIN), YOU ARE AGREEING TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT ACCEPT THESE TERMS OF SERVICE IN THEIR ENTIRETY, YOU MAY NOT ACCESS OR USE THE SITE OR SERVICES.

If you agree to these Terms of Service on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms of Service and your agreement to these terms will be treated as the agreement of the business. In that event, “you” and “your” will refer and apply to that business.

    1. Registration. When you register to create an account on the Site, Evidnt App (“Evidnt Account”), you will be asked to provide an email address and password. You are responsible for safeguarding your password and you agree not to disclose your password to any third party. You agree that you will be solely responsible for any activities or actions taken under your password, whether or not you have authorized such activities or actions. You agree that the information that you provide to Evidnt upon registration, and at all other times will be true, accurate, current and complete. Without limiting any other terms of this Terms of Service, you may not impersonate any other person or use an email address or password that you are not authorized to use. Evidnt reserves the right to request you to provide a different email address for any reason and may do so at any time.
    2. Modification. Evidnt reserves the right, in its sole discretion, to modify, discontinue or terminate the Site and Services, or to modify these Terms of Service, at any time and without advance notice. If Evidnt modifies these Terms of Service, we will post the modification on the Site or within the Services. We will also update the “Last Updated Date” in these Terms of Service. If any modified terms and conditions are not acceptable to you, your sole remedy is to cease using the Site and Services, and if applicable, cancel your Evidnt Account. By continuing to access or use the Site and Services after Evidnt makes any such revision, you agree to be bound by the revised Terms of Service.
    3. Termination and Account Cancellation.
      1. Evidnt Termination. Without limiting other remedies, Evidnt reserves the right to terminate the Site, Services or your access thereto at any time and for any reason. In addition, Evidnt may take any actions it deems appropriate, without notice to you, if Evidnt suspects or determines, in its own discretion, that you may have: (i) failed to comply with any provision of these Terms of Service or any policies or rules established by Evidnt; or (ii) engaged in actions relating to or in the course of using the Site or Services that may be illegal or cause liability, harm, embarrassment, harassment, abuse or disruption for you, Evidnt Users, Evidnt, any other third parties, or the Site or Services.
      2. Your Termination. You may terminate your Evidnt Account at any time and for any reason by emailing Evidnt at info@Evidnt.co and requesting termination.
      3. Rights at Termination. Upon termination, all rights granted to you by these Terms of Service will immediately cease. Evidnt is not liable to you or any third party for termination of the Site or Services, or termination of your use of the Site or Services. UPON ANY TERMINATION OR SUSPENSION, ANY INFORMATION THAT YOU HAVE SUBMITTED ON THE SITE OR WHICH IS RELATED TO YOUR ACCOUNT MAY NO LONGER BE ACCESSED BY YOU. Evidnt will provide you with a reasonable period of time to allow you to request your data used by the Services by emailing Evidnt at help@Evidnt.co. Subject to the foregoing sentence, we reserve the right to delete all of your information and account data stored in our database upon termination of these Terms of Service, and Evidnt shall not be liable to you or any third party for termination of access to the Services or deletion of your information or account data.
      4. Survival. Any suspension, termination or cancellation of the Site or Services will not affect your obligations to Evidnt under these Terms of Service (including but not limited to ownership, indemnification and limitation of liability), which by their sense and context are intended to survive such suspension, termination or cancellation.
    4. Intellectual Property Ownership and Restrictions. You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site, Services, or related products and services. You will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the Site or Services. Evidnt and its licensors own all right, title and interest, including all worldwide intellectual property rights in the Site and Services, and the trademarks, service marks and logos contained therein.
    5. Personal Non-Commercial Use. Subject to your compliance with these Terms of Service, you may access and use the Site and Services for your own personal non-commercial use. Any commercial use of the Site or Services requires Evidnt’s prior written consent.
    6. Obligations for Evidnt Users. In addition, without limitation, you agree that while using or accessing the Site or Services you will not: (i) circumvent, disable or otherwise interfere with security related features of the Site or Services; (ii) attempt to probe, scan or test the vulnerability of any Evidnt system or network, or breach or impair or circumvent any security or authentication measures protecting the Site or Services; (iii) attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site or Services; (iv) collect, or attempt to collect, any personal data about other Evidnt Users without their express permission; (v) use the Site or Services in any manner not permitted by these Terms of Service; or (vi) encourage or instruct any other individual to do any of the foregoing or to violate any term of these Terms of Service.
    7. Disclaimer of Warranties. Your use of the Site and Services is at your sole discretion and risk. The Site and Services, and all materials, information, products and services included therein, are provided on an ’AS IS“ and ’AS AVAILABLE“ basis without warranties of any kind. Evidnt EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, RELATING TO THE SITE AND SERVICES, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, COURSE OF DEALING OR COURSE OF PERFORMANCE. Evidnt disclaims any warranties: (i) regarding the security, accuracy, reliability, timeliness and performance of the Site or Services; or (ii) that the Site or Services will be error-free or that any errors will be corrected. No advice or information, whether oral or written, obtained by you from Evidnt, will create any warranty not expressly stated in these Terms of Service. Some states or jurisdictions do not allow the exclusion of certain warranties. Accordingly, some of the above exclusions may not apply to you.
    8. Limitation of Liability. IN NO EVENT WILL EVIDNT, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, WHETHER THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT EVIDNT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION AND IN NO EVENT WILL EVIDNT’S CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO ACCESS THE SITE OR SERVICES.
    9. Indemnification. You agree to defend, indemnify, and hold Evidnt, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney’s fees and costs, arising out of or in any way connected with (i) your access to or use of the Site or Services; (ii) your violation of these Terms of Service; (iii) your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right; or (iv) any claim that your use of the Site or Services caused damage to a third party.
    10. Third Party Links. The Site and Services may provide links to third party websites or resources. You acknowledge and agree that Evidnt is not responsible or liable for the availability or accuracy of such websites or resources, and Evidnt does not endorse such websites or resources or the content, products, or services on or available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
    11. Feedback and Independent Development. Your feedback is welcome and encouraged. You may submit feedback by emailing us at info@Evidnt.co or via other portions of the Site. You agree, however, that if you elect to provide suggestions, ideas, proposals, concepts or other feedback to us (whether written, verbal or in any other format or manner) in connection with these Terms of Service or use of our Site or Services (“Feedback”), you acknowledge and agree that we have no obligation (whether of confidentiality, compensation or otherwise) with respect to such Feedback and we will be free to use and exploit the same in any manner without restriction of any kind. You acknowledge and agree that all Feedback will be the sole and exclusive property of Evidnt. You hereby irrevocably transfer and assign to Evidnt and agree to irrevocably transfer and assign to Evidnt all of your right, title, and interest in and to all Feedback, including all Intellectual Property Rights therein. At Evidnt’s request and expense, you will execute documents and take such further acts as Evidnt may reasonably request to assist Evidnt to acquire, perfect and maintain its intellectual property rights and other legal protections for the Feedback. Further, you acknowledge and agree that Evidnt is engaged in creating and developing its own programs, plans and projects so it is possible that we are already independently developing products services, plans and projects that are quite similar and/or competitive with your Feedback (including the concepts contemplated by or embodied therein). Nothing in these Terms of Use will be construed as a representation or agreement that we will not develop or have developed, distribute, market or promote applications, services, products, concepts, systems or techniques that are similar to and/or compete with the applications, services, products, concepts, systems or techniques contemplated by or embodied in any Feedback or compensate you or provide you with any input or response with regard to your Feedback.
    12. General.
      1. No Assignment. You will not assign these Terms of Service or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without the prior written consent of Evidnt. Any purported assignment or delegation by you without the appropriate prior written consent of Evidnt will be null and void. Evidnt may assign these Terms of Service or any rights hereunder without your consent.
      2. Relationship of the Parties. For purposes of these Terms of Service, including if you become a Registered User, you are not an employee or agent of Evidnt, and you will not represent that you are any of the foregoing. Each party will be independent and act independently and not as a contractor, partner, joint venturer, agent, employee or employer of the other and will not bind or attempt to bind the other to any contract. Each party will be solely responsible for their own costs and expenses incurred in the performance of their obligations under these Terms of Service, including without limitation any expenses associated with the implementation of these Terms of Service.
      3. Severability and Waiver. In the event that any provision in these Terms of Service is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of Evidnt to enforce any right or provision of these Terms of Service will not be deemed a waiver of such right or provision.
      4. Force Majeure. Evidnt will not be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of events beyond its reasonable control, which may include, without limitation, denial-of-service attacks, strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, terrorism, governmental action, labor conditions, earthquakes, material shortages, extraordinary Internet congestion or extraordinary connectivity issues experienced by major telecommunications providers (each a “Force Majeure Event”). Upon the occurrence of a Force Majeure Event, Evidnt will be excused from any further performance of its obligations affected by the Force Majeure Event for so long as the event continues.
      5. Governing Law. These Terms of Service and the relationship between you and Evidnt will be governed by the laws of the State of Delaware without regard to its conflict of law provisions.
      6. Entire Agreement. These Terms of Service are the entire and exclusive agreement between Evidnt and you regarding the Site and Services, and supersede and replace any prior agreements between Evidnt and you regarding the Site and Services.
      7. Notice. Any notice or other communication to be given hereunder will be in writing and given (a) by Evidnt via email to the address that you provide; (b) by Evidnt via a posting on the Site; or (c) by you via email to info@Evidnt.co or to such other addresses as Evidnt may specify in writing. The date of receipt will be deemed the date on which such notice is transmitted.

SIGNING UP FOR SERVICES; USER INFORMATION

  • Information you provide during any registration process (such as your name, company name, email address, phone number, geographic location and industry), when you call or email us (for support or otherwise) or when you use our products or services.

USE OF SERVICES, WEBSITE VISITS AND SUPPORT

YOUR BUSINESS DATA

We also collect Business Data you provide to us as you use the Services for business purposes, including, but not limited to:

  • a list of catalog items with associated data from any third party integration added to Evidnt;
  • information related to your sales and inventory; and
  • information that allows us to automatically identify products you’re consistently selling based on your sales data.

HOW WE USE YOUR PERSONAL DATA

In general, Personal Data you submit to us is used to provide you with a customized experience, aid us in serving you better, and to respond to your requests. We use your Personal Data to:

  • Facilitate the creation of your Evidnt Account.
  • Identify you as a Evidnt User in our system.
  • Provide the services and customer support you request.
  • Provide improved administration of the Services.
  • Analyze request and usage patterns, diagnose problems with our server and administer our Services.
  • Improve the quality of experience when you interact with the Services.
  • Send you administrative email notifications, such as security or support and maintenance advisories.
  • Notify you of Evidnt Platform updates, changes and improvements.
  • Respond to your inquiries.

DISCLOSURE OF YOUR PERSONAL DATA

Disclosure to Related Third Parties. Except as we explicitly state at the time we request information, or in this Privacy Policy, we do not buy, sell, trade, share, or rent the Personal Data collected through our Services to third parties. We may, however, share your Personal Data with:

  • third parties under contract to perform functions (such as data analysis, e-mail services, technical support, etc.) on our behalf;
  • successor in interest to our company, or any acquirer of all or a portion of our assets, if such assets include Personal Data;
  • any Evidnt parent company, subsidiary, joint venture, or other company under common control with Evidnt (collectively, “Affiliate”). In such case, we will require that any third party service provider, successor in interest, or Affiliate agree to protect the confidentiality, security, and integrity of Personal Data to this same degree as this Privacy Policy.

Where such transfers of your Personal Data are made they will be made in accordance with applicable law.

NECESSARY DISCLOSURE

We may disclose information you provide (including Personal Data) if we have a good faith belief that disclosure is necessary to:

  • comply with the law or with legal process served on us;
  • protect and defend the rights or property of us or other Evidnt Users;
  • to enforce this Privacy Policy or our Terms of Service; or
  • act in an emergency to protect someone’s safety.

RETENTION OF YOUR PERSONAL DATA

In general, we expect to keep your Personal Data for as long as is necessary for the purposes for which it was obtained from the date of  collection or, where you enter into a contractual arrangement with us, following the end of the performance of our contract or when your  engagement with our Services ends.

We do not sell or rent your personal information to any third parties for marketing purposes.

ACCESS

You have the right to know whether we process personal information about you, and if we do, to access data we hold about you and certain information about how we use it and who we share it with.

PORTABILITY

You have the right to receive personal information you provide us if we process it on the legal basis of our contract with you or with your consent in a structured, commonly used and machine-readable format and a right to request we transfer such personal information to another party. If you wish for us to transfer the personal information to another party, please ensure you provide details of the party and note we can only do so where it is technically feasible. We are not responsible for the security of the personal information or its processing once received by the third party.

CORRECTION

You have the right to require us to correct any personal information held about you that is inaccurate and have incomplete data completed. Where you request correction, please explain in detail why you believe the personal information we hold about you to be inaccurate or incomplete so we can assess whether a correction is required. Please note while we assess whether the personal information we hold about you is inaccurate or incomplete, you may exercise your right to restrict our processing of the applicable data as described below.

ERASURE

You may request we erase the personal information we hold about you in the following circumstances:

  • where you believe it is no longer necessary for us to hold the personal information;
  • we are processing it on the basis of your consent and you wish to withdraw your consent;
  • we are processing your data on the basis of our legitimate interest and you object to such processing;
  • you no longer wish us to use your data to send you marketing; or
  • you believe we are unlawfully processing your data.

Please provide as much detail as possible on your reasons for the request to assist us in determining whether you have a valid basis for erasure.

RESTRICTION OF PROCESSING TO STORAGE ONLY

You have a right to require us to stop processing the personal information we hold about you other than for storage purposes in the following circumstances:

  • You believe the personal information is not accurate for the period it takes for us to verify whether the data is accurate;
  • We wish to erase the personal information as the processing we are doing is unlawful but you want us to simply restrict the use of that data;
  • We no longer need the personal information for the purposes of the processing but you require us to retain the data for the establishment, exercise or defense of legal claims; or
  • You have objected to us processing personal information we hold about you on the basis of our legitimate interest and you wish us to stop processing the personal information while we determine whether there is an overriding interest in us retaining such personal information.

OBJECTION

You have the right to object to our processing of data about you and we will consider your request. Please provide us with detail as to your reasoning so we can assess whether there is a compelling overriding interest in us continuing to process such data or we need to process it in relation to legal claims.

You also have the right, at any time, to object to our processing of data about you in order to send you marketing, including where we build profiles for such purposes and we will stop processing the data for that particular purpose.

WITHDRAWAL OF CONSENT

A NOTE ABOUT CHILDREN

Our Services are not directed to children under the age of thirteen, and we do not knowingly collect any Personal Data from children under thirteen.

When you register to use the Services or create an Evidnt Account, we may collect certain information, such as your email address, password, name, company name, and email address. We also collect Personal Data that you provide to us as you use the Services, including, but not limited to:

  • a list of catalog items from any third party integration added to Evidnt;
  • information related to your sales and inventory; and
  • information that allows us to automatically keep your inventory up to date based on your sales data.

In addition, if you provide us feedback or contact us via e-mail, we may collect your name and email address, as well as any other content included in the email that you submit to us, in order to send you a reply.

Personal Data Collected via Technology. We collect Personal Data and Anonymous Data from you based on your use of the Site and Services, directly and indirectly using third party tools. Like most Internet services, we automatically gather this Personal Data and Anonymous Data and store it in log files each time you visit our website or access your account on our network.
